Terms of Service

Welcome to Image Depot.

These Terms of Service ("Terms") govern your access to and use of Image Depot, including the websites imagedepot.net, photo-depot.net, and image-depot.net, the Image Depot platform, photography gallery services, image hosting, client delivery tools, online sales features, storage, payment integrations, and related services (collectively, the "Service").

By creating an account, subscribing to a plan, uploading Content, connecting a payment account, joining an early-access program, or otherwise using the Service, you agree to these Terms.

If you do not agree to these Terms, you may not use the Service.

1. About Image Depot

Image Depot is a photography-focused online platform designed to provide photographers, studios, media companies, and other professional image creators with tools for storing, organizing, displaying, delivering, and selling photographic and other visual content.

Image Depot is currently an early-stage service. Features, plans, storage limits, pricing, and functionality may change as the Service develops.

References to "Image Depot," "we," "us," or "our" mean the entity operating the Image Depot Service. If Image Depot's operating legal entity changes or is formally organized under a different legal name, these Terms may be updated to identify that entity.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to create and maintain a Studio Account.

The Service is primarily intended for professional photographers, photography businesses, studios, media companies, organizations, and other businesses or individuals who create or manage visual content.

You may not use the Service if you are prohibited from doing so under applicable law. If you create an account on behalf of a company, studio, organization, or other entity, you represent that you have authority to bind that entity to these Terms.

3. Definitions

For purposes of these Terms:

  • "Account" means your Image Depot account.
  • "Studio" means the photographer, photography business, media company, organization, or other customer using Image Depot.
  • "Content" means photographs, videos, graphics, files, metadata, descriptions, captions, gallery information, and other material uploaded or submitted by a Studio or its authorized users.
  • "Client" means a person or organization who receives access to a gallery or purchases Content through a Studio's use of Image Depot.
  • "Gallery" means an online collection of Content created or managed through Image Depot.
  • "Service" means Image Depot's websites, applications, hosting, gallery, storage, delivery, sales, payment integrations, and related services.

4. Your Account

You are responsible for:

  • Providing accurate and current account information
  • Maintaining the confidentiality of your login credentials
  • Protecting access to your Account
  • Maintaining appropriate security for your Account
  • Restricting access to authorized individuals
  • All activity occurring under your Account

You must notify Image Depot promptly if you believe your Account has been compromised or accessed without authorization. Image Depot is not responsible for losses resulting from your failure to maintain reasonable account security. You may not share your account credentials in a manner that violates your subscription plan or creates unauthorized access to the Service.

Each individual or business is permitted one Image Depot Account. Creating or maintaining multiple Accounts to circumvent plan limits, trial terms, referral terms, or other restrictions of the Service is a violation of these Terms and may result in suspension or termination of the associated Accounts, at Image Depot's discretion.

5. Ownership of Your Content

You retain ownership of your Content. Uploading Content to Image Depot does not transfer ownership of your photographs, videos, artwork, graphics, or other intellectual property to Image Depot. Image Depot does not claim ownership of your Content.

By uploading Content, you grant Image Depot a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, display, and otherwise use that Content only as reasonably necessary to provide, maintain, secure, and improve the Service for you and the Clients you authorize.

This license ends when your Content is deleted from the Service, except where retention is reasonably necessary for:

  • Legal compliance
  • Security
  • Fraud prevention
  • Dispute resolution
  • Accounting or transaction records
  • Backup or disaster-recovery processes, if applicable

6. No Unauthorized Use of Your Images

Image Depot will not sell, license, distribute, or commercially exploit your Content as stock photography. Unless you separately authorize Image Depot in writing, Image Depot will not use your Content for:

  • Stock photography
  • Advertising campaigns
  • Promotional campaigns
  • Public portfolio purposes
  • Marketing materials
  • Selling or licensing your photographs to third parties
  • Artificial intelligence model training
  • Generative AI training datasets
  • Creating derivative commercial image products

Image Depot may use limited technical representations of Content when necessary to operate the Service, including thumbnails, previews, optimized versions, watermarked previews, and other technical derivatives required to deliver galleries and operate the platform.

7. Your Responsibility for Your Content

You are solely responsible for your Content. You represent and warrant that you have all rights, licenses, permissions, releases, consents, and legal authority necessary to:

  • Create or possess the Content
  • Upload the Content
  • Store the Content
  • Display the Content
  • Deliver the Content to your Clients
  • Sell or license the Content where applicable
  • Permit Image Depot to provide the Service in connection with the Content

You are responsible for obtaining appropriate permissions involving identifiable individuals, private property, trademarks, copyrighted material, and other protected rights. You are also responsible for obtaining any required parental or guardian permissions when photographing or distributing images of minors.

Image Depot does not determine whether your photography contracts, model releases, parental releases, property releases, school permissions, event permissions, or other agreements are legally sufficient.

8. Prohibited Content and Activities

You may not use Image Depot to upload, distribute, sell, or transmit Content or conduct activities that:

  • Violate applicable law
  • Infringe copyright, trademark, privacy, publicity, or other rights
  • Contain malware, viruses, or malicious code
  • Facilitate fraud or identity theft
  • Impersonate another person or organization
  • Facilitate unauthorized access to accounts or systems
  • Contain illegal material
  • Are used to harass, threaten, or unlawfully target another person
  • Attempt to circumvent Image Depot's security or access controls
  • Interfere with the operation of the Service
  • Attempt to reverse engineer or exploit the Service
  • Use automated systems in a manner that places unreasonable load on the Service
  • Violate payment-provider rules
  • Violate these Terms

Image Depot may remove or restrict Content when reasonably necessary to comply with law, protect users, protect the Service, or address a credible rights complaint.

9. Copyright Complaints and DMCA

Image Depot respects intellectual property rights. If you believe Content hosted through Image Depot infringes your copyright, you may submit a copyright complaint containing sufficient information for Image Depot to identify the allegedly infringing material and evaluate the complaint. See our Copyright & DMCA Policy for details.

Where applicable, Image Depot may respond to copyright complaints under the Digital Millennium Copyright Act and other applicable laws. Image Depot may remove or restrict access to allegedly infringing Content while investigating a complaint. A Studio may be required to provide information establishing its rights to Content before disputed material is restored.

Nothing in this section limits any rights or remedies available under applicable copyright law. Image Depot may terminate accounts belonging to users who repeatedly engage in confirmed copyright infringement.

10. Galleries and Client Access

Studios are responsible for determining:

  • Which Clients receive gallery access
  • Which Content is publicly accessible
  • Which Content requires a password
  • Whether downloads are permitted
  • Whether screenshots, sharing, or other uses are permitted
  • Pricing and sales terms
  • Any expiration dates or access restrictions

Image Depot provides the technical infrastructure for these controls but cannot guarantee that a Client will not copy, photograph, download, screen-record, screenshot, redistribute, or otherwise misuse Content that they are legally or technically able to view. Studios remain responsible for establishing appropriate contracts and usage restrictions with their Clients.

11. Image Sales

Where Image Depot provides online image sales functionality, the Studio is responsible for:

  • Setting prices
  • Selecting products
  • Establishing sales policies
  • Providing accurate product descriptions
  • Fulfilling physical products where applicable
  • Determining applicable usage licenses
  • Handling customer-service issues related to the Studio's products or photography services

Image Depot provides technology to facilitate transactions but does not become the owner or creator of the photographs being sold.

12. Payments

Image Depot may support payment processing through third-party payment providers, including Square and other providers made available through the Service. When you connect your own payment account:

  • You are responsible for maintaining that payment account
  • The payment provider's terms apply
  • The payment provider controls its payment-processing relationship with you
  • Payment-provider fees may apply
  • Payment-provider tax reporting requirements may apply
  • Image Depot does not control the payment provider's policies or payout schedule

Where Image Depot processes payments on your behalf, the applicable Image Depot plan, commission, transaction, refund, and payment terms displayed at the time of the transaction will apply.

13. Taxes

You are responsible for determining and complying with tax obligations arising from your business, Content, sales, services, and use of Image Depot. This may include sales tax, use tax, income tax, self-employment tax, and applicable reporting requirements. Image Depot does not provide tax, accounting, or legal advice.

14. Fees and Subscription Plans

Image Depot may offer Free, Solo, Studio, Agency, or other plans. Current pricing, storage limits, gallery limits, commissions, and other plan features are displayed on the Image Depot website and/or within the Plan & Billing section of the Service.

Image Depot may change pricing for future billing periods. If a change materially affects an existing paid subscription, Image Depot will provide reasonable advance notice. Unless otherwise stated at checkout:

  • Monthly plans renew monthly
  • Annual plans renew annually
  • Subscription charges are billed in advance
  • Subscriptions automatically renew until canceled

Image Depot's referral program, where offered, is subject to the following terms: referral credit is earned only when both the referring Studio and the referred Studio are active on a paid plan; credit is issued only after the referred Studio has completed three (3) full paid billing cycles; credit is applied solely as a bill credit toward the referring Studio's own Image Depot subscription and is not redeemable for cash, transferable, or refundable; and each referring Studio may earn a maximum of three (3) referral credits over the lifetime of its Account. Image Depot may change or discontinue the referral program at any time.

15. Refunds and Cancellations

Unless otherwise required by law or expressly stated at checkout, subscription fees are non-refundable. Canceling a subscription stops future renewal charges but does not automatically create a refund for previously paid subscription periods. If you cancel during a paid subscription period, your access generally continues through the end of the period for which you have already paid. Image Depot may provide refunds or credits at its discretion.

16. Downgrades

If you downgrade to a plan with lower storage, gallery, or other limits, your existing Content may exceed the limits of the new plan. Image Depot may provide a reasonable period for you to:

  • Delete Content
  • Export Content
  • Archive Content where the feature is available
  • Upgrade to a plan supporting your existing usage

Image Depot will not intentionally delete Content solely because you have exceeded a newly applicable quota without providing reasonable notice, except where necessary to address abuse, security, legal requirements, or other exceptional circumstances.

17. Storage and Archiving

Each Image Depot plan may include defined storage limits. Where available, Image Depot may offer archival storage or other methods of retaining Content outside active storage quotas. Archived Content may have limited availability or functionality while archived. Image Depot will clearly disclose applicable archive fees and limitations before charging the Studio. See our Data, Storage & Backup Policy for more detail.

18. Data Export

Your Content belongs to you. Image Depot is committed to allowing Studios to maintain reasonable control over their Content. Subject to technical limitations and applicable law, Studios may request an export of their Content and associated account information. Export formats, processing times, and available metadata may vary depending on the type and volume of Content. Image Depot may charge a reasonable fee for unusually large or resource-intensive export requests where such a fee is disclosed in advance.

19. Data Retention and Deletion

Studios are responsible for maintaining their own copies of important original Content. Image Depot may retain account and transaction information for as long as reasonably necessary to operate the Service, comply with legal obligations, resolve disputes, prevent fraud, and maintain business records. When a Studio deletes Content, Image Depot may require time to remove the Content from active systems and, where applicable, backup or disaster-recovery systems. Deletion may therefore not be instantaneous from every system. Image Depot will not intentionally retain deleted Content indefinitely for commercial exploitation.

20. Backups and Data Loss

Image Depot will use commercially reasonable practices appropriate to the Service to protect stored Content. However, Image Depot is not a substitute for maintaining independent backups of original photography. Studios should maintain their own archival copies of important photographs and other Content.

To the maximum extent permitted by law, Image Depot is not responsible for loss of Content resulting from circumstances outside its reasonable control, including hardware failure, software defects, malicious attacks, third-party service failures, accidental deletion, unauthorized account access, or other events that may affect data availability. Nothing in this section limits any rights that cannot legally be waived.

21. Service Availability

Image Depot will make commercially reasonable efforts to maintain the Service. However, the Service may occasionally be unavailable because of:

  • Maintenance
  • Upgrades
  • Security events
  • Hardware failures
  • Software failures
  • Internet outages
  • Cloud or hosting-provider failures
  • Payment-provider failures
  • Natural disasters
  • Government actions
  • Cyberattacks
  • Other circumstances outside Image Depot's reasonable control

Image Depot does not guarantee uninterrupted or error-free operation.

22. Third-Party Services

Image Depot may integrate with third-party services, including payment processors, hosting providers, analytics providers, email providers, authentication services, storage providers, and other technology providers. Third-party services are governed by their own terms and privacy policies. Image Depot is not responsible for failures caused solely by third-party services.

23. Security

Image Depot will take reasonable measures designed to protect the Service and information maintained through the Service. However, no internet-connected service can guarantee absolute security. You are responsible for maintaining reasonable security practices for your Account, including strong passwords, appropriate access controls, and any security features made available by Image Depot. You should promptly report suspected unauthorized access or security incidents involving your Account.

24. Privacy

Your use of Image Depot is also governed by the Image Depot Privacy Policy. The Privacy Policy explains what information Image Depot collects, how information is used, how information may be shared, and how information is protected. The Privacy Policy is incorporated into these Terms by reference.

25. Children's Privacy and Images of Minors

Image Depot is a professional photography platform and may host photographs containing minors. Studios are responsible for obtaining all legally required permissions and consents concerning images of minors. Image Depot does not determine whether a Studio has obtained appropriate parental or guardian authorization. Image Depot does not knowingly permit children under the applicable minimum age to create Studio Accounts.

26. Image Depot Intellectual Property

The Image Depot Service itself, including its software, interface, branding, logos, designs, features, documentation, and underlying technology, is owned by or licensed to Image Depot. Except as expressly permitted by these Terms, you may not:

  • Copy the Service
  • Resell the Service
  • Reverse engineer the Service
  • Modify or create derivative works from the Service
  • Attempt to obtain source code
  • Remove proprietary notices
  • Use Image Depot branding in a misleading manner

Your use of Image Depot does not give you ownership of Image Depot's intellectual property.

27. Feedback

If you provide suggestions, recommendations, ideas, feature requests, or other feedback regarding Image Depot, you grant Image Depot permission to use that feedback without compensation or restriction. You retain ownership of any intellectual property that independently exists in your Content.

28. Suspension and Termination

You may stop using Image Depot at any time. Image Depot may suspend or terminate an Account if:

  • You materially violate these Terms
  • You fail to pay amounts owed
  • Your activity creates a security risk
  • Your activity creates legal risk
  • You repeatedly infringe third-party rights
  • You engage in fraud
  • You abuse the Service
  • Your activity threatens the integrity of the Service
  • Required by law

Where reasonably practical, Image Depot will provide notice and an opportunity to correct the violation before termination. Immediate suspension or termination may occur when Image Depot reasonably believes immediate action is necessary to protect users, the Service, or third parties.

29. Content After Termination

Following termination, Image Depot may provide a reasonable opportunity for a Studio to export its Content, depending on the reason for termination. Image Depot may immediately restrict access to Content when necessary because of:

  • Illegal activity
  • Copyright infringement
  • Fraud
  • Security threats
  • Court orders
  • Law-enforcement requests
  • Other circumstances requiring immediate action

After the applicable retention period, Image Depot may delete remaining Content associated with a terminated Account.

30. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Image Depot and its owners, officers, employees, contractors, and service providers from claims, damages, liabilities, losses, costs, and expenses arising from:

  • Your Content
  • Your violation of these Terms
  • Your violation of another person's rights
  • Your failure to obtain required permissions or releases
  • Your use of the Service
  • Your business relationship with your Clients
  • Your products or services sold through the Service

Image Depot will provide reasonable notice of a covered claim and may participate in the defense.

31. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided on an "AS IS" and "AS AVAILABLE" basis. Image Depot disclaims warranties to the extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Image Depot does not guarantee that:

  • The Service will always be available
  • The Service will be error-free
  • Content will never be lost
  • Content will never be copied by unauthorized persons
  • Every feature will remain available
  • The Service will satisfy every business requirement

32. Limitation of Liability

To the maximum extent permitted by law, Image Depot will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages. This includes, where legally permitted, damages relating to:

  • Lost profits
  • Lost business
  • Lost sales
  • Lost reputation
  • Lost opportunities
  • Lost Content
  • Business interruption
  • Loss of anticipated revenue

To the maximum extent permitted by law, Image Depot's total aggregate liability arising from or relating to the Service will not exceed the amount you paid to Image Depot during the twelve months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot legally be excluded or limited.

33. Force Majeure

Image Depot will not be responsible for delays or failures caused by circumstances beyond its reasonable control. Such circumstances may include natural disasters, war, terrorism, labor disputes, governmental actions, internet failures, power failures, cloud-provider outages, cyberattacks, or other events beyond reasonable control.

34. Dispute Resolution

Before initiating formal legal proceedings, you agree to contact Image Depot and attempt in good faith to resolve the dispute. This requirement does not prevent either party from seeking emergency injunctive or other equitable relief when necessary to protect intellectual property, confidential information, security, or other rights.

35. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute that cannot be resolved informally will be handled in a court of competent jurisdiction as permitted by applicable law.

36. Changes to These Terms

Image Depot may update these Terms as the Service develops. When changes are made, Image Depot will post the updated Terms and update the Effective Date. For material changes, Image Depot will make reasonable efforts to notify active customers through email, account notifications, or another appropriate method. Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the updated Terms, to the extent permitted by law.

37. Assignment

You may not transfer your Account or rights under these Terms without Image Depot's written consent, except as part of a permitted business transfer. Image Depot may assign these Terms in connection with a merger, acquisition, sale of assets, corporate restructuring, or transfer of the Service.

38. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect. The invalid provision will be modified only to the extent necessary to make it enforceable while preserving its intended purpose.

39. Entire Agreement

These Terms, together with the Privacy Policy and any applicable additional terms presented during your use of specific Image Depot features, constitute the agreement between you and Image Depot concerning the Service. These Terms replace prior agreements concerning the same subject matter unless expressly stated otherwise.
